Welcome to Coludi, a coaching directory and platform designed to help gamers connect with qualified video game coaches. These Terms of Service govern your use of the website located at https://coludi.com/ and any related services provided by Coludi GmbH.

By accessing https://coludi.com/, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by Coludi GmbH (haftungsbeschränkt).

We, Coludi GmbH (haftungsbeschränkt), reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

PARENTAL CONSENT. IF YOU ARE UNDER 18 YEARS OF AGE (A “MINOR”), YOU MUST HAVE YOUR PARENT OR LEGAL GUARDIAN’S PERMISSION TO USE THE SERVICE, AND YOU MAY ONLY USE THE SERVICE UNDER THE SUPERVISION OF A PARENT OR LEGAL GUARDIAN WHO ACCEPTS AND AGREES TO BE BOUND BY THESE TERMS ON YOUR BEHALF, INCLUDING ALL DISCLAIMERS, WAIVERS AND RELEASES.

1. Coludi is a platform for educational gaming services. It connects gamers around with coaches, educators and fellow gamers to improve together and create a fun gaming experience.
   
   
2. Eligibility
   You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations. If you are a parent or the legal guardian of a Minor accepting these Terms on the Minor’s behalf, you represent and warrant that you have the legal authority to bind the Minor to these Terms and you also agree to be bound by these Terms. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms. Coludi is entitled to request a written consent from the legal representatives of underage customers at any time
   
   
3. Services Provided
   Coludi offers a database of coaches for sports and racing-games. Users can search and find the right coach for their need by accessing the database for free. Coludi does not endorse, verify, or guarantee the accuracy, reliability, or completeness of any information provided by coaches listed on this site. We are partnered with selected coaches, which are labeled as “Coludi Coach”.  Services provided by these coaches (i. e 1-on-1 sessions, Gameplay analysis) can be directly purchased through Coludi. For all Coaches not partnered with Coludi, we provide a direct link to the platform or website, where you can purchase the respective service.
   
   

   Please note that Coludi acts solely as an intermediary platform that facilitates connections between users and independent video game coaches. We do not provide or oversee the coaching services offered by the coaches listed on our platform. The quality, content, and execution of any coaching session are the sole responsibility of the individual coach. Coludi is not responsible for any disputes, issues, or outcomes related to the services provided by the coaches, nor do we guarantee the accuracy or legitimacy of the information provided by the coaches on their profiles.
   
   Coludi also offers group courses that allow players to participate in coaching sessions alongside others with similar interests or skill levels. These courses are scheduled at specific times and focus on particular aspects of gameplay, strategy, or skill development. Players can browse and purchase these courses directly through Coludi’s platform. Once enrolled, all coaching sessions for the Group Course will be conducted via Coludi’s official Discord server.
   
   

4. General Payment Terms
   Services offered on the platform can be purchased using a valid credit card. By providing your payment information, you represent and warrant that you are authorized to use the selected payment method and that you authorize us (or our designated payment processor) to charge your payment method for the total amount due.All transactions on the platform are processed in Euros (EUR). Any applicable exchange rates or fees for international transactions are the responsibility of the user and are determined by your payment provider.

   Payments are processed securely through our third-party payment processor. We do not store your credit card details on our servers. For further details on how your payment information is handled, please refer to our Privacy Policy.

   You agree to provide accurate and complete billing information, including your full name and payment details, when making a purchase. Failure to do so may result in the inability to complete the transaction.

   Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged.

   All fees are non-refundable, except as required by law, unless otherwise specifically provided for in these Terms.
   
   

5. Refund Policy
   Partnered Coaches: If you have purchased Services from a partnered coach and have not attended the session or otherwise utilized the Services, you may request a refund within 90 calendar days from your date of purchase via the Coludi Discord or by contacting support@coludi.com. 

   Group Coaching Sessions:  If you have a coaching session you may request a refund until 24 hours before the start of the (first) session. After that, a refund is not possible anymore.  

   Not Partnered Coaches:Refunds and cancellations are governed by the individual coach’s policies. It is the user’s responsibility to review and understand these policies before making a booking. Coludi is not responsible for any disputes arising between the user and the coach regarding refunds, cancellations, or quality of service.
   
   

6. Content and Intellectual Property
   The intellectual property in the materials contained in this website are owned by or licensed to Coludi GmbH (haftungsbeschränkt) and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Coludi GmbH (haftungsbeschränkt) at any time.

   You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.

   When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

   The license you grant us can be terminated at any time by deleting your content or account. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.
   You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences and our Privacy Policy.
   
   

7. Limitation of Liability
   Our website and the materials on our website are provided on an ‘as is’ basis. To the extent permitted by law, Coludi GmbH (haftungsbeschränkt) makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.
   In no event shall Coludi GmbH (haftungsbeschränkt) or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Coludi GmbH (haftungsbeschränkt) or an authorized representative has been notified, orally or in writing, of the possibility of such damage.
   In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.
   Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
   Coludi is not responsible for any issues that arise during coaching sessions booked through our platform or the quality of coaching provided by individual coaches.
   The materials appearing on our website are not comprehensive and are for general information purposes only. Coludi GmbH (haftungsbeschränkt) does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.
   Coludi GmbH has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Coludi GmbH (haftungsbeschränkt) of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.
   
   
8. Termination of Access
   We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service. 
   
   
9. Severance 

   Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.
   
   

10. Modifications to Terms 

    Coludi reserves the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting on the Site. Continued use of the Site after changes indicates your acceptance of the new terms.
    
    

11. Governing Law
    These Terms of Service are governed by and construed in accordance with the laws of Germany. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
